Terms of Service

These Terms of Service ("Terms") govern your use of Upsearch, operated by GIANT NERD AUTOMATION LTD. By using the Service, you agree to these Terms.

1. Eligibility and Acceptance

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service. By accessing or using Upsearch, you agree to these Terms and our Privacy Policy.

2. The Service

Upsearch is a paid, web-based research and analytics service that helps customers monitor and analyze visibility across AI-powered search and answer engines. We may update, improve, suspend, or discontinue features from time to time.

3. Accounts and Connected Google Services

  • You are responsible for maintaining the confidentiality and security of your account
  • You must provide accurate, current, and complete information
  • You may sign in with Google or connect a Google account to enable specific features
  • When you connect Google services, you authorize Upsearch to access and transiently process the Google user data covered by the scopes you approve, solely for the feature identified to you at the time of connection
  • You represent that you have the authority to grant any permissions you approve for your Google account or Google Workspace data
  • Except for Google sign-in and account-linking data needed to operate your account, Upsearch does not store a persistent copy of Google user data retrieved from connected Google services and instead retrieves and displays that data on a session-based basis for the authorized user
  • You may revoke Google access at any time through Upsearch, where available, or through your Google account settings, but some features may stop working after revocation

4. Fees and Payments

  • The Service is offered on a paid basis unless we state otherwise
  • Payments are processed by Stripe or another designated payment provider
  • Fees are due as described at checkout or in your subscription terms
  • Fees are non-refundable unless required by law or expressly stated otherwise

5. Acceptable Use

You agree not to:

  • Use the Service for unlawful, fraudulent, or deceptive purposes
  • Abuse, interfere with, or disrupt the Service or attempt to gain unauthorized access to systems or data
  • Use the Service in a way that violates Google's terms, another provider's terms, or another person's privacy or intellectual property rights
  • Upload, connect, or submit data that you are not authorized to access, share, or process

6. User Inputs and Connected Data

You retain ownership of your prompts, uploads, and other content you provide to the Service, as well as your rights in any third-party data you are authorized to connect. You grant us a limited right to host and process content you provide directly to the Service, and to access, transiently process, transmit, and display connected third-party data, solely as needed to provide, secure, support, and improve the specific features you request.

7. Google API Services Terms

If you use a Google-connected feature, our processing of Google user data is also governed by our Privacy Policy and the Google API Services User Data Policy, including the Limited Use requirements.

  • We will request only the Google permissions reasonably required for the feature you enable
  • We will use Google user data only to retrieve and display the user-facing content or functionality you asked us to perform, plus related security and legal compliance functions
  • Except for Google sign-in and account-linking data, we will not retain Google user data from connected Google services after the requested display has been completed
  • We will not sell Google user data or use it for advertising or unrelated secondary purposes
  • If a material change would require broader Google access or a new Google user data use case, we may require you to review updated disclosures and provide renewed consent before continued use of the affected feature

8. Privacy, Retention, and Deletion

Our collection, use, storage, sharing, retention, and deletion of personal data and Google user data are described in our Privacy Policy. For clarity, except for stored Google sign-in and account-linking data, Google user data retrieved from connected Google services is not ordinarily retained by Upsearch after it is displayed to the authorized user. You may delete your account or request deletion of stored account data as described in our Privacy Policy.

9. Third-Party Services

The Service relies on third-party providers such as hosting platforms, analytics providers, payment processors, authentication providers, and connected API services. Those third-party services are governed by their own terms and privacy policies, and we are not responsible for services outside our reasonable control.

10. Intellectual Property

All rights in the Service, including our software, design, branding, and content, belong to GIANT NERD AUTOMATION LTD or its licensors, excluding content and data that you or other users lawfully provide.

11. Suspension and Termination

We may suspend or terminate your access if you violate these Terms, create risk for the Service or other users, fail to pay applicable fees, or if we are required to do so by law or a platform provider. You may stop using the Service and delete your account at any time.

12. Disclaimers

The Service is provided "as is" and "as available" to the fullest extent permitted by law. We do not guarantee uninterrupted availability, error-free operation, or any particular business result from use of the Service.

13. Limitation of Liability

To the maximum extent permitted by law, GIANT NERD AUTOMATION LTD will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business opportunity arising from your use of the Service.

14. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will post the updated Terms on this page and may provide additional notice through the Service. Continued use of the Service after the updated Terms take effect means you accept them, except where a new consent flow is required for a Google-connected feature.

15. Governing Law

These Terms are governed by the laws of the United Kingdom, without regard to conflict of law rules.
